In these Terms, “QuoteRun”, “we”, “us” and “our” mean the operator of QuoteRun. “You” and “your” mean the business, organisation or person using QuoteRun.

QuoteRun is a software and communication platform only. QuoteRun is not a supplier, merchant, contractor, broker, reseller, agent or party to any supplier/customer transaction.

 These Terms govern your access to and use of QuoteRun, including the mobile app, website, email sending and receiving features, quote request tools, supplier reply tools, order communication tools, follow-up tools, storage, account features and any future premium or subscription features.

By creating an account, accessing QuoteRun or using the service, you agree to these Terms. If you use QuoteRun on behalf of a business or organisation, you confirm that you have authority to accept these Terms on its behalf.

If you do not agree to these Terms, you must not use QuoteRun.

We may update these Terms from time to time. If we make material changes, we may notify you through the app, by email or by another appropriate method. We may ask you to accept updated Terms before continuing to use QuoteRun.

Use of the QuoteRun app may also be subject to app store or platform rules, including rules from Apple, Google or any other app store or distribution platform through which you access the app.

QuoteRun is intended for trade businesses and business users. It is not intended for children or for personal household use.

By using QuoteRun, you confirm that you are using it for business, trade or professional purposes and not as a consumer.

You must provide accurate account and profile information and keep it up to date. This may include your name, company name, email address, phone number, sender details and other profile information.

You are responsible for keeping your login details secure and for all activity on your account, except where activity is caused by our failure to meet our own platform security obligations.

You must not share account access with unauthorised people. If you believe your account has been compromised, you should contact us as soon as possible at support@quoterun.co.uk.

We may refuse registration, suspend access or require additional verification where we reasonably believe this is necessary for security, fraud prevention, compliance, misuse prevention or service integrity.

You are responsible for how you use QuoteRun and for the information you enter, upload, send or store through the service.

You agree to:

– Use QuoteRun only for lawful business purposes.
– Ensure your account and profile information is accurate.
– Check all quote requests, messages, attachments, supplier details, order details and follow-ups before sending them.
– Ensure you have the right to contact suppliers and other recipients.
– Ensure you have the right to upload, store and send any content or attachments you use in QuoteRun.
– Keep your own records where required for your business, accounting, legal or regulatory purposes.
– Comply with applicable laws, including data protection, email, consumer, trade, tax and health and safety laws where relevant.
– Use reasonable care when placing orders or relying on supplier information.

You are responsible for checking all quotes, prices, quantities, product details, delivery times, supplier details and order information before placing an order. This includes checking whether prices include VAT, delivery, handling, deposits, surcharges or any other costs.

You should not rely on QuoteRun as a substitute for your own business judgement, supplier checks or professional advice.

You must not rely on QuoteRun as the only record or communication method for urgent, emergency, safety-critical or legally time-sensitive matters. If something is urgent or important, you should contact the relevant supplier, customer or other party directly using an appropriate method.

QuoteRun allows you to enter and store customer, supplier, job, quote, order and communication data. This may include names, email addresses, phone numbers, addresses, job notes, materials, quote details, supplier replies, attachments and order information.

You are responsible for the accuracy, lawfulness and appropriateness of the data you enter into QuoteRun.

You must only enter personal data, customer data, supplier data, job data or commercially sensitive information where you have the right to do so. You are responsible for giving your own customers, suppliers, employees, subcontractors or other contacts any privacy notices or information required by law.

QuoteRun is not intended for unnecessary special category personal data, such as health information, biometric data, political opinions, religious beliefs, trade union membership, sexual orientation or similar sensitive information. You should not enter this type of information unless it is genuinely necessary for your lawful business purposes and you have a valid basis to do so.

QuoteRun helps you create and send quote requests to suppliers. Quote requests may include job details, materials, quantities, messages, attachments, customer or site details, profile branding and reply instructions.

You are responsible for checking each quote request before sending it. This includes checking supplier email addresses, job details, material descriptions, quantities, attachments, customer information and any message content.

QuoteRun does not guarantee that a supplier will receive, read, understand or respond to a quote request. Email delivery may depend on third-party systems, supplier email settings, spam filters, incorrect email addresses, outages or other factors outside our control.

QuoteRun may receive supplier replies through QuoteRun reply addresses and link those replies to the relevant quote, job or order where possible.

Supplier replies may include prices, product details, availability, delivery information, attachments, terms, exclusions or other information. Suppliers are responsible for their own replies, quotes, prices, availability, delivery times, product details, payment terms, warranties, returns and other information they provide.

Any quote comparison, total, status, label, ordering, badge or suggested cheapest supplier shown in QuoteRun is provided for organisation and convenience only. It may not reflect the full commercial position. Quote comparisons and ordering tools are informational features only and are not procurement advice, recommendations or endorsements.

You remain responsible for checking the full supplier response before relying on it, including exclusions, delivery charges, VAT, handling charges, deposits, surcharges, product suitability, availability, delivery times, payment terms, warranty terms, returns terms and any other conditions.

You are responsible for reviewing supplier replies carefully and confirming any important details directly with the supplier where needed. QuoteRun does not verify supplier replies, pricing, availability, product suitability, delivery estimates, attachments or supplier terms.

QuoteRun may not always match or display replies perfectly. For example, replies may be delayed, sent from unexpected addresses, contain unclear content, include unsupported attachments or be affected by email routing issues.

QuoteRun helps you send order confirmations to suppliers based on quote requests, supplier replies and information you provide.

Before placing an order, you are responsible for checking all quotes, prices, quantities, product details, delivery times, supplier details, payment terms, attachments, addresses, order notes and order information. This includes checking whether prices include VAT, delivery, handling, deposits, surcharges or any other costs.

When you place an order through QuoteRun, QuoteRun sends the order communication on your behalf. QuoteRun does not place the order as principal, buyer, seller, reseller, broker, agent or merchant. Any order, purchase agreement or supply arrangement is made directly between you and the supplier.

An order confirmation sent through QuoteRun records the communication sent by you, but it does not guarantee that the supplier has accepted the order, can fulfil it, has reserved stock, or agrees to any price, delivery time, product detail or term unless the supplier confirms this directly.

Suppliers are responsible for their own quotes, responses, pricing, availability, delivery, fulfilment, warranties, returns, payment terms and disputes.

QuoteRun is not responsible for whether a supplier accepts an order, fulfils an order, delivers goods, provides correct products, meets delivery dates, honours quoted prices, provides warranties, handles returns or resolves disputes.

QuoteRun may allow you to send follow-up messages relating to quote requests, supplier replies or orders.

Follow-up messages are sent on your behalf. You are responsible for checking the message, recipient, attachments and context before sending.

QuoteRun does not guarantee that a supplier will respond to a follow-up message or that any follow-up will result in a quote, order, delivery, refund, replacement or resolution.

Follow-up communication should not be used as your only method for urgent, emergency, safety-critical or legally time-sensitive matters.

QuoteRun may allow you to upload, store, send or receive attachments, including photos, documents, PDFs, supplier files and other materials.

You are responsible for ensuring that uploaded content is accurate, lawful, safe and appropriate. You must not upload content that:

– You do not have the right to use or share.
– Infringes intellectual property rights.
– Contains malware or harmful code.
– Is unlawful, abusive, misleading, defamatory or discriminatory.
– Contains unnecessary personal data or unnecessary special category personal data.
– Breaches confidentiality, data protection or contractual obligations.

We may remove, restrict or block content where we reasonably believe it breaches these Terms, creates risk, infringes rights, affects service security or may expose us or others to liability.

QuoteRun sends quote requests, quick quotes, order confirmations and follow-up messages on behalf of users.

You authorise QuoteRun to send these communications using the sender details, profile branding, message content, supplier details, job details, attachments and other information you provide or select in the app.

You are responsible for ensuring that email addresses are correct and that you have a lawful basis or permission to contact the recipients.

QuoteRun may include QuoteRun branding, reply instructions, tracking information, technical headers, metadata, legal disclaimers or other service-related content in emails sent through the platform.

Email delivery and receipt are not guaranteed. Emails may be delayed, blocked, rejected, filtered, misdirected or fail due to incorrect details, supplier systems, third-party providers, internet issues, outages or other circumstances.

You should not rely on QuoteRun email sending as the only communication method for urgent, emergency, safety-critical or legally time-sensitive matters.

QuoteRun is not a party to any transaction, quote, order, purchase, supply arrangement or contract between you and a supplier, customer or other third party.

QuoteRun does not:

– Sell, supply or deliver goods or services quoted by suppliers.
– Act as a supplier, merchant, contractor, broker, reseller or agent.
– Verify supplier identity, qualifications, financial standing or reliability.
– Verify quotes, prices, product details, availability, delivery times or payment terms.
– Guarantee supplier responses, fulfilment, delivery, quality, warranties, returns, refunds or dispute outcomes.
– Collect payment on behalf of suppliers unless a future feature expressly says otherwise.

Any quote, order, price, delivery, availability, payment term, warranty, return, refund or dispute is agreed directly between you and the supplier.

You should carry out your own checks before relying on supplier information or placing an order.

QuoteRun may offer free features, free trials, premium features, paid subscriptions or usage-based features.

Pricing, feature availability, limits, billing periods, renewal terms and cancellation rules will be shown in the app, on our website, in app store listings or during checkout where applicable.

If paid features are introduced, you agree to pay all applicable fees, taxes and charges associated with your chosen plan or usage. Payments may be processed by a third-party payment provider or app store.

Free trials or promotional offers may be limited to certain users, features, regions or time periods. Unless stated otherwise, we may change, withdraw or limit free trials and promotions.

We may change pricing or subscription features from time to time. Where required, we will give notice or obtain consent before changes affect an existing paid subscription.

QuoteRun may in future offer referral, sharing, reward or promotional features.

Any such features may be subject to additional rules, eligibility criteria, fraud prevention checks, limits, expiry periods and withdrawal rights.

You must not misuse referral or reward features, create fake accounts, send spam, mislead people or use referral features in a way that breaches law or platform rules.

We may withhold, cancel or reverse rewards where we reasonably believe there has been misuse, error, fraud, breach of terms or ineligible activity.

You must not use QuoteRun to:

– Break the law or encourage unlawful activity.
– Send spam, unsolicited marketing or unlawful electronic communications.
– Harass, threaten, abuse, mislead or discriminate against anyone.
– Upload malware, harmful code or unsafe attachments.
– Attempt to access accounts, data or systems without permission.
– Interfere with QuoteRun’s security, availability, infrastructure or integrity.
– Reverse engineer, scrape, copy or misuse the service except as allowed by law.
– Impersonate another person or business.
– Send fraudulent, false or misleading quote requests, orders or communications.
– Infringe intellectual property, privacy, confidentiality or contractual rights.
– Use QuoteRun for high-risk, urgent, emergency, safety-critical or legally time-sensitive purposes where failure, delay or incorrect information could cause serious harm or legal prejudice.
– Use QuoteRun in breach of applicable anti-spam or electronic communication laws.

We may investigate suspected misuse and may suspend, restrict or terminate access where reasonably necessary.

QuoteRun, including the app, software, design, branding, workflows, text, graphics, features, code and related materials, is owned by us or our licensors and is protected by intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use QuoteRun for your lawful internal business purposes.

You retain ownership of content you enter or upload into QuoteRun, such as job notes, quote requests, attachments, supplier lists and communications. You grant us the rights we need to host, store, process, display, transmit, email, back up and otherwise use that content to provide QuoteRun and related services.

You must not copy, modify, distribute, sell, lease, sublicense, reverse engineer or create derivative works from QuoteRun unless allowed by law or agreed in writing.

Feedback, suggestions or ideas you provide may be used by us to improve QuoteRun without obligation to compensate you, provided we do not claim ownership of your underlying business data.

We aim to provide a reliable service, but QuoteRun may be unavailable, interrupted, delayed or changed from time to time.

Availability may be affected by maintenance, updates, security work, third-party providers, app stores, internet issues, email systems, Supabase, Postmark, outages, bugs or circumstances outside our control.

QuoteRun depends on third-party services, such as hosting, database, storage, authentication, email delivery, app stores, payment providers, device platforms and internet services. We are not responsible for failures caused by third-party services outside our reasonable control, but we will use reasonable efforts to choose and manage the providers we use.

Use of the app may also be subject to app store, operating system, device manufacturer or platform rules. Those third parties may apply their own terms, policies and technical restrictions.

We may add, remove, suspend, change or limit features from time to time. We will try to avoid materially reducing paid features during a paid subscription period without notice or an appropriate remedy, but some changes may be necessary for security, legal, technical or operational reasons.

We may provide updates, fixes or new versions, and you may need to install updates to continue using the app properly.

Our Privacy Policy explains how we collect, use, store and share personal data. You should read it alongside these Terms.

Where you enter personal data about customers, suppliers, employees, subcontractors or other contacts into QuoteRun, you are responsible for ensuring that you have a lawful basis to do so and that you provide any privacy information required by law.

You must not use QuoteRun in a way that causes us to breach data protection law.

You may stop using QuoteRun at any time. If account deletion or cancellation features are available, you may use them in accordance with the app instructions.

We may suspend, restrict or terminate your account or access to QuoteRun if we reasonably believe:

– You have breached these Terms.
– Your account has been compromised.
– Your use creates security, legal, operational or reputational risk.
– You have not paid fees when due, where paid features apply.
– We are required to do so by law or a third-party provider.
– Continued access could harm QuoteRun, other users, suppliers or third parties.

Where reasonable, we will try to give notice before suspension or termination, but we may act without notice where urgent action is needed.

Termination does not affect rights or obligations that have already arisen.

You may delete certain jobs, quotes, suppliers, attachments, messages or other records through the app where deletion features are available.

Deleted jobs and quotes may be retained for 60 days before permanent deletion. This retention period supports recovery, audit, safety and operational features. Deleting a job or quote does not mean all related data is removed instantly.

Some data may remain in backups, logs, email records, audit records, support records, payment records or service provider systems for a limited period or where needed for legal, accounting, security, dispute or legitimate business purposes.

If you request account deletion, we will handle the request in accordance with our Privacy Policy and applicable law.

You should save or export any records you need before deleting them or closing your account, where export features are available. You are responsible for maintaining any backups or exported records required for your own business, accounting, tax or legal purposes.

QuoteRun is provided as a software and communication tool. It is not professional advice, procurement advice, legal advice, accounting advice, product advice, safety advice or supplier verification.

We do not warrant that:

– QuoteRun will always be available, uninterrupted or error-free.
– Emails will always be delivered, received, matched or displayed correctly.
– Supplier replies will be accurate, complete or reliable.
– Quote comparisons will identify the best supplier, price or product.
– Any total, status, label, ordering, badge or suggested cheapest supplier will reflect VAT, delivery, handling, deposits, surcharges, exclusions, product suitability, availability or supplier terms.
– Attachments will always be viewable, safe, complete or compatible.
– The service will meet every business need or integrate with every workflow.

You are responsible for checking information before acting on it, including before sending quote requests, relying on supplier replies or placing orders.

Nothing in these Terms removes responsibility for our own platform obligations where the law does not allow us to do so.

Nothing in these Terms excludes or limits liability where it would be unlawful to do so.

Subject to the section below, and to the fullest extent permitted by law, we will not be liable for:

– Supplier quotes, responses, prices, availability, delivery, fulfilment, warranties, returns, payment terms or disputes.
– Losses arising from transactions or arrangements between you and suppliers, customers or other third parties.
– Losses caused by incorrect, incomplete or misleading information entered by you or supplied by suppliers.
– Losses caused by you failing to check quote, order, supplier or delivery information.
– Email delivery failures, delays, spam filtering or supplier email system issues outside our reasonable control.
– Failures, delays, outages or restrictions caused by third-party services outside our reasonable control.
– Loss of profits, revenue, business, goodwill, opportunity, anticipated savings or indirect or consequential loss.
– Loss or damage caused by events outside our reasonable control.

If you use a free version of QuoteRun, our liability to you will be limited to the amount permitted by law and appropriate for a free service.

If you use a paid version of QuoteRun, our total liability for claims relating to the service will be limited to the fees you paid to us for QuoteRun in the 12 months before the event giving rise to the claim, unless a different limit is required by law or agreed in writing.

These limits are intended to be fair and proportionate for a software platform of this type. They do not affect rights that cannot legally be limited.

Nothing in these Terms excludes or limits our liability for:

– Death or personal injury caused by negligence.
– Fraud or fraudulent misrepresentation.
– Breach of terms implied by law that cannot be excluded or limited.
– Any other liability that cannot be excluded or limited under applicable law.

You agree to be responsible for losses, claims, damages, costs and expenses suffered by us as a result of:

– Your unlawful use of QuoteRun.
– Your breach of these Terms.
– Content, data or attachments you upload, store or send through QuoteRun.
– Your breach of data protection, confidentiality, intellectual property, email or trade laws.
– Claims by suppliers, customers or third parties arising from your quote requests, orders, communications, attachments, transactions or business dealings.

This indemnity will not apply to the extent the loss or claim is caused by our own breach of these Terms, negligence or unlawful conduct.

These Terms are governed by the laws of England and Wales.

The courts of England and Wales will have exclusive jurisdiction over disputes arising from or relating to these Terms or QuoteRun, except where applicable law gives you mandatory rights to bring a claim elsewhere.

If you are based in Scotland or Northern Ireland, you may also have rights under local mandatory laws that cannot be excluded.

If you download QuoteRun through the Apple App Store, you acknowledge that these Terms are between you and QuoteRun only, and not with Apple. Apple is not responsible for the app, its content, maintenance, support or claims relating to the app.

If you download QuoteRun through Google Play or another platform, you also acknowledge that those platforms may have their own terms and conditions that apply to your use of the app.
